These Terms of Service ("Terms") govern access to and use of KiranaConnect's WhatsApp ordering and automation platform, websites, merchant dashboard, and related services (collectively, the "Service"). By using the Service, you agree to these Terms.
1. The Service
KiranaConnect helps customers send shopping requests to local businesses through WhatsApp and helps participating merchants clarify, structure, manage, and fulfill those orders. We provide technology that supports communication and order management; unless expressly stated otherwise, the merchant—not KiranaConnect—is the seller of the products.
2. Eligibility and accounts
You must be legally capable of entering into a binding agreement. Merchants must provide accurate business and account information, keep login credentials secure, and promptly notify us of unauthorized use. You are responsible for activity under your account.
3. Orders and merchant responsibility
Merchants are responsible for product availability, descriptions, pricing, taxes, invoices, quality, legal compliance, delivery or pickup, cancellations, refunds, and customer service. An order is not final until accepted by the merchant. Customers should review clarified order details before confirmation.
4. Acceptable use
You may not use the Service to break the law; sell prohibited or unsafe goods; infringe another person's rights; distribute spam, malware, or deceptive content; interfere with the Service; attempt unauthorized access; or misuse customer information. Merchants must obtain any permissions required to message customers and follow applicable WhatsApp and Meta policies.
5. Fees and payment
Some features may be subject to fees described in an order form, subscription plan, or separate agreement. Merchants are responsible for applicable taxes. We will communicate pricing and material fee changes before they apply.
6. Privacy
Our Privacy Policy explains how we process personal information. Merchants must independently comply with applicable privacy and data-protection laws when handling customer information received through the Service.
7. Intellectual property
KiranaConnect and its licensors retain all rights in the Service, software, branding, and related materials. We grant users a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. Users retain rights in content they submit and grant us permission to process it as needed to provide and improve the Service.
8. Third-party services
The Service may rely on or link to third-party services, including WhatsApp and Meta products. Their terms and availability are outside our control, and your use of those services is governed by their agreements.
9. Availability and disclaimers
We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. To the extent permitted by law, the Service is provided "as is" and "as available," without warranties not expressly stated in these Terms.
10. Limitation of liability
To the maximum extent permitted by law, KiranaConnect will not be liable for indirect, incidental, special, consequential, or punitive damages, lost profits or data, or merchant products and fulfillment. Any liability cap should be specified in the applicable merchant agreement and is subject to rights that cannot lawfully be excluded.
11. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, fail to pay applicable fees, or if needed to protect the Service or its users. Provisions that by nature should survive termination will remain in effect.
12. Changes and governing law
We may update these Terms and will post the revised version with a new effective date. These Terms are governed by the laws of India. The final business terms should identify the appropriate courts or agreed dispute-resolution process.
